AGREEMENT TO TERMS

These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Mailverse (“Company,” “we,” “us,” or “our”), regarding your access to and use of the https://www.mailverse.ai/ website and any related products, services, or applications (collectively, the “Site”).
By accessing the Site or using our services, you agree that you have read, understood, and accepted these Terms in full. If you do not agree, you must immediately discontinue use of the Site and any Mailverse services.
Supplemental terms, policies, or documents that may be posted on the Site from time to time are expressly incorporated herein by reference. We reserve the right to update or modify these Terms at any time and for any reason. The “Last Updated” date will reflect the latest revision, and your continued use of the Site after any change constitutes acceptance of those modifications.
The Site is intended for users who are at least 18 years of age. By using the Site, you represent that you meet this requirement.

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise stated, the Site and all content, including source code, databases, design elements, text, graphics, logos, and other materials (“Content”), are the intellectual property of Mailverse or its licensors.
You are granted a limited, non-exclusive, non-transferable license to access and use the Site for your own business purposes. Except as expressly permitted, you may not copy, reproduce, distribute, modify, or otherwise exploit any portion of the Site or Content without prior written consent from Mailverse.

USER REPRESENTATIONS

By using Mailverse, you represent and warrant that:

1. You have the legal authority to agree to these Terms.
2. You are not a minor in your jurisdiction.
3. You will not access the Site using automated or non-human methods (e.g., bots, scrapers).
4. You will not use the Site or services for any unlawful or prohibited purpose.
5. Your use of the Site will not violate any applicable laws or regulations.

If any information provided by you is inaccurate or misleading, we reserve the right to suspend or terminate your access without notice.

PROHIBITED ACTIVITIES

You agree not to:

• Use the Site or our services to engage in any illegal, fraudulent, or unauthorized activity.
• Attempt to gain unauthorized access to systems, data, or infrastructure used by Mailverse.
• Reverse engineer, decompile, or otherwise tamper with the Site’s software or backend.
• Use Mailverse to transmit spam, malware, or harmful automated scripts.
• Misrepresent your affiliation or impersonate another entity.
• Copy or redistribute any Site content for commercial purposes without permission.

Violation of these terms may result in immediate termination of service and potential legal action.

SERVICE DESCRIPTION

Mailverse provides automated cold email infrastructure setup and management for Outlook Enterprise environments. This includes the provisioning of isolated Microsoft tenants, configuration of SPF/DKIM/DMARC, domain authentication, and infrastructure automation for compliant email outreach.
Mailverse does not provide end-user mailbox access or email content delivery services. Customers are responsible for their own sending practices and compliance with applicable anti-spam and privacy regulations.

PAYMENTS AND NON-REFUNDABLE POLICY

All Mailverse services are prepaid and strictly non-refundable. Each order involves provisioning dedicated Outlook Enterprise infrastructure that cannot be reallocated or undone after deployment.
Once a setup begins, no refunds, chargebacks, or cancellations will be issued under any circumstance. We reserve the right to refuse or terminate service for accounts found in violation of these Terms.

LIMITATIONS OF LIABILITY

To the fullest extent permitted by law, Mailverse and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, reputation, or data, arising out of or related to your use of the Site or services.
Mailverse’s total aggregate liability shall not exceed the total amount paid by you to Mailverse within the six (6) months preceding the claim.

INDEMNIFICATION

You agree to defend, indemnify, and hold Mailverse harmless from any claims, damages, liabilities, or expenses (including reasonable attorney fees) arising out of:

• Your use of the Site or services;
• Your violation of these Terms;
• Your infringement of any third-party rights;
• Any misuse or unlawful activity conducted via your Mailverse setup.

DATA HANDLING & PRIVACY

Mailverse handles only the data necessary to deploy and manage Outlook Enterprise infrastructure.
By using our Site, you acknowledge that you have read and agree to our Privacy Policy, which governs data collection and processing. We do not access or monitor client email content.

SERVICE AVAILABILITY & MODIFICATIONS

Mailverse may update, modify, or discontinue any aspect of the Site or service at its discretion without prior notice. We strive for consistent uptime but do not guarantee uninterrupted service, as technical or maintenance interruptions may occur. Mailverse is not liable for losses due to downtime, maintenance, or third-party service disruptions.

GOVERNING LAW

These Terms and your use of Mailverse shall be governed by and construed under the laws of Wyoming, United States, without regard to conflict of law principles.

DISPUTE RESOLUTION

Before pursuing formal legal action, both parties agree to attempt informal resolution via written notice and a 30-day negotiation period.

If unresolved, disputes shall be submitted to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted in Wyoming, USA. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class actions and collective proceedings are expressly waived.

DISCLAIMER OF WARRANTIES

Mailverse provides its Site and services on an “as-is” and “as-available” basis.
We make no warranties or representations regarding performance, deliverability outcomes, uptime, or results of using our services. Your use of Mailverse is at your sole risk.

SEVERABILITY

If any provision of these Terms is deemed invalid or unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall remain in full effect.

ENTIRE AGREEMENT

These Terms, along with our Privacy Policy and any referenced documents, constitute the entire agreement between you and Mailverse regarding the Site and services, superseding all prior agreements or communications.
